Party B:
Both parties to the contract should follow the following principles:
1. Information to be kept confidential
1.1 All the parties mentioned in this Confidentiality Agreement provide Party A confidential information materials, including: PCB design documents, information, agreements and reference materials are all confidential information.
2. Confidentiality responsibility:
2.1 To avoid disclosure, both parties should observe:
a. Party A shall take all possible measures to keep all information and documents from Party B strictly confidential, including the implementation of effective safety measures and operating procedures.
b. Party A shall not disclose the documents to a third party, and only allow the information to be disclosed to Party A's personnel and contractors.
c. Party A shall not be entitled to amend or remove any term or copyright notice in this Agreement.
2.2 According to the provisions of this Agreement, Party A shall keep the confidentiality period of the information for a lifetime after receiving the information.
3. Use restrictions
3.1 Party A promises that only the received confidential information specified in this agreement shall be used for service by Party A and shall not be used for any other purpose.
3.2 Party A shall not disclose any rights related to commercial use rights, patent rights, copyrights, trademarks, technical secrets, trade secrets or other proprietary rights owned by Party B.
3.3 Party A does not guarantee the use of confidential information.
3.4 Party A agrees that any information transmitted by software, data or database can only be used by Party A

4.1 This Agreement does not state that A and B establish any agency or partnership. Such as the establishment of agency and cooperation, need to sign a separate contract.
4.2 The confidentiality agreement takes effect immediately after signing, but both parties will not be responsible for the following situations:
a. Information released by Party B prior to the notification of the official documents.
b. Information disclosure caused by non-Party A's mistake,
c. Before the release of Party A already know the information,
d. Information independently discovered by Party A without the use of confidential information
e. By the Party B in the case of information released without any restrictions on the information.
4.3 Both parties agree that both parties are eligible to seek legal and fair remedies against default
4.4 The terms of this agreement only a written amendment signed by both parties to modify the party is valid.
4.5 This Agreement contains the mutual understanding and consensus of the signatories on such issues.
4.6 For any confidential information, any responsibility specified in this Agreement may be waived by Party B in writing.
This Confidentiality Agreement shall be governed and explained in accordance with the applicable laws of the People's Republic of China. Both parties to the contract agree that any dispute concerning this NDA shall be unconditionally subject to the jurisdiction of the People's Court of the People's Republic of China.
